Terms and conditions of the “Tezenis Talent” promotion
The “TEZENIS TALENT” loyalty program (hereinafter referred to the “Loyalty
program”) is a program proposed by the company Calzedonia UK Limited hereinafter
referred to “the Company” with registered office at Spirell House, 266/270 Regent St,
London, W1B 3AH VAT number GB906446326.
The company proposes discounts, benefits, services, and commercial actions listed at
article 9 (hereinafter referred to the “Advantages”) to the customers who want to profit
from this program on the website www.tezenis.com
or
in the stores participating in the
loyalty program.
To take advantage of these benefits you must be a Tezenis Talent loyalty card holder:
the following terms and conditions (hereinafter also “Conditions”) govern the issue and
use of the Tezenis Talent loyalty card (hereinafter the “Card”), which the “Customer
Cardholder” should read carefully.
The activation of the Card, via the methods described in point 6 below, implies
acceptance of these General Conditions by the customer.
The Company reserves the right, at any time, to modify these Conditions, including
partially. The modifications made will become applicable 10 (ten) consecutive days after
their publication in the dedicated section of the website www.tezenis.com.
If the customer holding the Card (hereinafter “the Member”) does not accept these
updates, he will be able to cancel his membership in the Loyalty Program. This
cancellation can be made at any time in accordance with the present.
However, the use of the Card, after the entry into force of these modifications, will
imply full and complete acceptance of the General Conditions of Use.
The Company also reserves the right to suspend this loyalty program, temporarily or
permanently, at any time, without the Customer having any right to complain (subject to
any rights already held by the Customer-Holders at that time being upheld), by notifying
the suspension on its website www.tezenis.com
and/or at stores participating in the program.
These rules can always be consulted at www.tezenis.com and also in
the points of sales
participating in the Loyalty Program by asking the sales assistants.

4. Type / Name / Purpose of the “TEZENIS TALENT” Loyalty Program / Duration
This promotion is a loyalty scheme that involves collecting points on a card called
“Tezenis Talent Loyalty Card” and offering exclusive benefits to holders of said card.
The aim of the scheme is to encourage Customer loyalty through a loyalty scheme that
offers benefits to Customers holding the Card.
Subject to the provisions set out under the Preamble above, under Point 7 (“How it
Works”) and Point 10 (“Discontinuation of the scheme – Card Deactivation –
Miscellaneous”), the Card has no expiry date.
5. Who is it intended for?
Customers who are at least eighteen years old and hold the Card in accordance with the below conditions relating to scheme registration and operation.
6. How to register
To earn “Beginner Status”, the “blank” card may be issued to the
Customer in “digital” form by accessing the website www.tezenis.com
or downloading the “Tezenis” application or directly in shop.
The same credentials (login and password) will enable Customers to
access both their own personal page on the brand’s ecommerce site,
and to access to their personal profile on the Tezenis application.
The registration systems shall prevent Customers aged under
eighteen from signing up to the loyalty scheme. Activation /
registration shall take place in accordance with privacy
legislation.
The Card is personal and may not be transferred to others. Each Customer may not
activate other cards while one card is still valid.
The Card is for private use only and commercial use is not permitted.
Customers are free to unsubscribe from the loyalty scheme at any time, by accessing the
website www.tezenis.com or through the Tezenis application or by contacting customer
care on 0 800 385 68.
7. How it works
The Card allows customers to reach 3 different STATUSES by earning loyalty points on their purchases. Customers will receive an increasing level of benefits in accordance with their Status.
7.1. Beginner Status
- This is immediately acquired when the “blank” card is activated/registered.
- When “Beginner Status” customers earn 200 points they move to the following level – “Famous Status”, which will be immediately credited with any points in excess of those used to reach the new status.
- If a “Beginner Status” Customer does not earn 200 points within 365 days of the date they acquire the status, they remain at the “Beginner Status” level and their points balance shall be cancelled.
- If a “Beginner Status” customer earns 700 points before they have acquired the “Famous Status”, they move directly to “Celebrity Status”, which will be immediately credited with any points more than those used to reach the new status.
- Customers acquire this status as soon as they have earned 200 points. The new status which will be immediately credited with any points more than those used to change level
- Once they earn 500 points, “Famous status” Customers move to the “Celebrity Status” level which will be immediately credited with any points more than those used to reach the new status..
- A year after acquiring the “Famous Status” level, and every year after that, the
Customer:
if they have earned between 200 and 499 points, maintains “Famous Status" level for another year and their points balance will be reset to zero.
if they have earned less than 200 points, their points balance will be reset to zero and they will return to the “Beginner Status” level.
- Customers acquire “Celebrity Status” as soon as they have earned 500 points since the previous “Famous Status”. The new status will be immediately credited with any points more than those used to move level.
- A year after reaching the “Celebrity Status” level, and every year after that, the
Customer:
- if they have earned at least 500 points, maintains “Celebrity Status" level for another year and any points more than those used to keep this status shall be maintained;
- if they have earned less than 500 points, their points balance will be reset to zero and they will return to the “Famous Status” level.
Each change of status, as well as all communications concerning participation in the loyalty scheme, which are strictly indispensable for providing the services connected to it (for example, confirmation of subscription/cancellation, changes in status, special discount offers or exclusive gifts) are necessary for the operation of the scheme itself. Therefore, by accepting these rules, the Customer agrees to receive said communications, which will be sent to the addresses given on the scheme registration form. Refusal to receive said communications shall prevent the Company from implementing the scheme and providing the services associated with it. Any refusal expressed during the scheme shall result in an automatic interruption of the scheme.
8. Earning points
Loyalty points shall be automatically loaded onto activated Cards when each purchase
is made via the Tezenis app or the e-commerce site www.tezenis.com. One point will
be given for each GBP spent, rounded down (e.g., £1.99 = 1 point).
In order to have the points arising from the e-commerce or the Tezenis application
purchases credited to the Card, Customers must previously register their Card number
under their account. The insertion of the Card number shall be done only once and,
for subsequent purchases the system will automatically remember it.
To be entitled to points, customers must access the website or the app by entering
their details.
Customers may check their points balance at any time by requesting it at any
“Tezenis” stores participating in the scheme or by consulting the website
www.tezenis.com or their profile on the
Tezenis
application. Points will be credited
and recorded daily by the system; in the event of technical problems, they may be
credited within a longer period of a maximum of 15 days.
Returned items will result in points being debited according to the same criteria
used for crediting points.
Issuance of a “Tezenis Gift Card” will result in a credit of the corresponding
number of points. Subsequent purchases paid partially/entirely with a Gift Card will
not, therefore, earn any points for the part of the purchase paid for using the Gift
Card.
Promotions involving double or triple points may be organised and these will be
advertised accordingly.
The Card is in not a method of payment; the points credited cannot be transferred or
converted into cash or goods.
8.a Earning point and cross-country benefits
The Member holding a Card may accumulate points for any purchase made in one of the
countries listed below (in the event of an online purchase, the Member must
necessarily have a delivery address in the country in which the online order is
made).
The points collected in the above manner will allow points to be accumulated in
order to achieve a status and to use the Benefits in accordance with these General
Conditions of Use applicable to the United Kingdom market.
The loyalty points will be credited on the Client’s Card subject to the table below.

The Client holding the Card who will purchase in points of sales located in the Territories above, may take advantage, exclusively at the moment of the purchase and as additional benefit, from the discounts provided by each Country to that Client’s Status.
9. Benefits
Customers holding the Tezenis Card can benefit from numerous discounts,
promotions, prizes, and special initiatives, which will be suitably
advertised and communicated as the need arises. Customers may benefit from
the special advantages only by presenting their Card.
The following discounts are defined as of now:
- Standard shipping cost £3.95 for all online orders under £50. For orders over £50, standard shipping is always free
- For Beginner Status: every 100 points earned, £ 5 discount coupon, valid for 30 days of its issue, on a minimum spend of £ 50 (with the exclusion of items already subject to discounts).
- For Famous Status: every 100 points earned, £ 8 discount coupon, valid for 30 days of its issue, on a minimum spend of £ 50 (with the exclusion of items already subject to discounts).
- For Celebrity Status: every 100 points earned, £ 10 discount coupon, valid for 30 days of its issue, on a minimum spend of £ 50 (with the exclusion of items already subject to discounts).
- 15% discount on all purchases when the Beginner Status acquire the Famous Status, valid for 30 days of its issue, on a minimum spend of £60 (with the exclusion of items already subject to discounts).
- 20% discount on all purchases when the Beginner Status acquire the Celebrity Status, valid for 30 days of its issue, on a minimum spend of £60 (with the exclusion of items already subject to discounts).
- 20% discount on all purchases when the Famous Status acquire the Celebrity Status, valid for 30 days of its issue, on a minimum spend of £60 (with the exclusion of items already subject to discounts).
- 15% discount on all purchases when, after a year, the customer maintains the Famous Status, valid for 30 days of its issue, on a minimum spend of £60 (with the exclusion of items already subject to discounts).
- 0% discount on all purchases when, after a year, the customer maintains the Celebrity Status, valid for 30 days of its issue, on a minimum spend of £60 (with the exclusion of items already subject to discounts).
- 15% discount on all purchases when, after a year, the Celebrity Status Customer return to the Famous Status level, valid for 30 days of its issue, on a minimum spend of £60 (with the exclusion of items already subject to discounts).
Moreover, there will be special advantages for those Customers who will use the Tezenis application (for example, extra points, welcome contest, special challenge, etc). These special advantages will be communicated from time to time inside the Tezenis application.
10. Discontinuation of the scheme - card deactivation – miscellaneous
The Company reserves the right to amend, suspend or discontinue the Calzedonia loyalty scheme and related services at any time at its own discretion. Customers shall be informed of these changes, suspensions interruptions on the www.tezenis.com website or on the Tezenis App. Without prejudice to any other right established under law, including the right to compensation for damages, the Company shall be entitled to revoke Customer's right to use the Card and deactivate it in the event that the Card is used in breach of these Conditions or in the event of unlawful use or use that is harmful to the image of “Tezenis" and its brand. Furthermore, subject to giving notice, the Company reserves the right to deactivate the Card and the associated activation/registration if the Card is not used, or the Customer remains inactive for a period exceeding 5 years. Revocation and deactivation shall result in the Customer no longer being able to benefit from the advantages and services offered by the Tezenis loyalty scheme. The Company is not responsible for any direct or indirect consequences related to problems with the loyalty scheme for reasons that are beyond its control. The Company is not responsible for any fraudulent, improper, or incorrect use of the Card.

Which categories of
personal data will we use?
Your participation in the Tezenis Talent Loyalty Program involves the use of personal data about you by us. In particular, in order to allow your registration to "Tezenis Talent", we need to process the data provided to us at the time of registration. For registration carried out through the https://www.tezenis.com/uk/ website, failure to provide the data marked with an asterisk in the registration form will make it impossible to complete the registration process. With your consent, we may also use other information that you freely provide to us when you register or related to how you interact with us (hereinafter, collectively, the "Data").
More precisely, we could collect:- optional information requested through the web registration form or, in case of registration carried out in each point of sale, name, surname, address ZIP code, country and province are optional information;
- the information that we may acquire by examining customers’ interaction with us, through email and newsletters, through our Internet sites and through the Apps that may be developed by us or by third parties (for more information, please consult the relevant privacy policies);
- information that customers may share through the social networks to which they subscribe.

do process Personal Data and on what legal grounds?
We will use your Data, also by means of electronic instruments for the following purposes:
a. Loyalty Program Management
For the management of your participation in the Tezenis Talent Loyalty Program. The Data will be used to provide the discounts and benefits provided for those enrolled in the program and, more generally, for all related contractual and administrative obligations. The legal basis of the processing is the execution of the contract of subscription in the Loyalty Program.
b. Personalized assisted sale in all points of sale where the program is active
Wherever customers are, they could receive the help and advice of our sales assistants, with information (e.g. size, color or pattern) on items purchased in the previous 24 months at any Tezenis point of sale or even online. Considering that Tezenis is a global brand, such use of Data, based on our legitimate interest, allows us to improve the quality of our services at the point of sale and to ensure a consistent service to our customers who have joined the “Tezenis Talent” Loyalty Program in all our stores. In any case, if customers do not wish to receive this assistance, it is sufficient that they, at the time of registration or even at a later time, ask their Data not be used for this purpose.
c. With your consent, we can process your data for the following purposes:
a. Direct Marketing
to send you newsletters, information about the products and services provided by our company, offers and promotions, as well as to conduct market surveys. We may, for example, send you e-mails or instant messages (e.g. SMS and WhatsApp) or send you promotional materials to your postal address, contact you by telephone via operator.
On this occasion, you may receive offers and promotions relating to products marketed by the other brands of Oniverse (such as Calzedonia, Intimissimi, Signorvino, Falconeri, Atelier Emé, Antonio Marras), to which Tezenis belongs.
b. Profiling
to examine your preferences, how you interact with us and your purchasing behaviour. In particular, in order to better understand your tastes and interest in our products and communications, we may examine - also through the use of automated systems - the information provided at the time of your participation in the Tezenis Talent Loyalty Program, the purchases made at our stores over the last 3 years, your interest in the communications and newsletters we send you, your use of our websites, the way you use our Apps and your interest in our social media channels (e.g. Instagram, TikTok, etc.). For more information on the Data that we may acquire through browsing our websites and/or through the use of our Apps, you can consult the relevant privacy policies.
Finally, we may enrich your profile with statistical information that we may lawfully acquire from other sources: for example, in relation to your area of residence (such as demographic information, georeferencing data, etc.) or the electronic tools you use to interact with us.
In any case, this profiling activity is aimed at better personalizing our services and does not entail any significant legal or other effects for you. Your participation in Tezenis Talent is in no way conditional on the performance of the above consents
d. Statistical Analysis
in order to create statistical reports and behavioural models in order to examine – in aggregate form – the economic effectiveness of commercial initiatives (e.g. launch of a new product) and to direct future commercial and promotional initiatives, we may process information relating to purchases (also made in relation to the other brands of Oniverse), the country of origin, age, gender, information obtained by examining the interaction of subscribers to the promotional initiative, through e-mails, our websites and through Apps that may be developed by us or by third parties (for more information, please consult the relevant privacy policies). This processing is based on the legitimate interest of Calzedonia S.p.A. in analysing - in pseudonymised form (i.e. without information directly attributable to individual customers) - customer data in order to obtain strategic information relating to customer purchasing behaviour, the ways in which customers interact with companies through the various communication channels and the effectiveness of commercial and promotional initiatives, in order to be able to compete with the main operators in the sector.

How long will we keep
your Data?
Your Data will be processed no longer than the time necessary to manage your participation in the Tezenis Talent Loyalty Program (and if you have not objected to the personalised assisted sales service for 24 months). In addition, if you have given your consent to direct marketing, the Data will be processed until you withdraw such consent. If, on the other hand, you have given consent to profiling, we will retain data relating to your interactions with us for 12 months from the date of collection, while information relating to your purchases will be kept for 3 years from the date of each purchase. For the purposes of statistical analysis, purchase data will continue to be stored – in pseudonymised form – for a period of five years. Other personal data will be stored – in pseudonymised form – for a period of two years.

The Data Controllers for the purposes named “Loyalty Program Management” and “Personalized assisted sale” are Calzedonia S.p.A. and Calzedonia UK LTD. Therefore Calzedonia S.p.A. and Calzedonia UK LTD act as Joint Controllers since they together define the means and purposes of processing. The Data Controller for the purposes named “Sending of commercial communications (“Direct Marketing”)”, “Profiling” and “Statistical Analysis” is Calzedonia S.p.A.

disclose your Data?
For the purpose of managing your participation in Tezenis Talent and for administrative purposes, we may communicate your Data to our employees, service providers (e.g. IT services) and to the companies that manage Tezenis stores where the initiative is active and to other third parties where there is a legal obligation to do so. A complete list of such companies will be made available by sending a written request to the contacts indicated below.

Where do we transfer
the personal data?
As two Companies based within and outside the EU may be involved in the processing activities, we inform you that any transfer of data will take place in compliance with the provisions of the EU General Data Protection Regulation ('GDPR') and UK General Data Protection Regulation (“UK GDPR”). In particular, the data will be transferred only to countries able to guarantee an adequate level of protection of personal data and therefore recipients of an Adequacy Decision or after signing the Standard Contractual Clauses (SCC) as well as International Data Transfer Agreement (IDTA) or the UK Addendum depending on the exporting country.

You have the right to request access to the Data, rectification or erasure of the same, restriction of processing and to object to its use by us, as well as the right to request the delivery of some of the Data.
Rights of the Data Subject:
Right of access
The data subject shall have the right to obtain from the controller confirmation as to whether or not personal data concerning him or her are being processed and, if so, to obtain access to the personal data and the following information: i. the purposes of the processing;
ii. the categories of personal data concerned;
iii. the recipients or categories of recipients to whom the personal data have been or will be disclosed, in particular recipients in third countries or international organizations and, if so, the existence of appropriate safeguards;
iv. where possible, the envisaged retention period of the personal data or, if this is not possible, the criteria used to determine that period; v. the existence of the right of the data subject to request from the
controller the rectification or erasure of personal data or the restriction of the processing of personal data concerning him or her or to object to their processing;
vi. the right to lodge a complaint with a supervisory authority; vii. if the data are not collected from the data subject, all available information on their origin;
viii. the existence of automated decision-making, including profiling, which produces legal effects concerning him or her or similarly significantly affects him or her and, at least in such cases, meaningful information about the logic used, as well as the significance and expected consequences of such processing for the data subject.
Right to rectification
The data subject shall have the right to obtain from the controller the rectification of inaccurate personal data concerning him or her without undue delay.
Right to erasure
The data subject shall have the right to obtain from the controller the erasure of personal data concerning him or her without undue delay and the controller shall be obliged to erase the personal data without undue delay, if one of the following grounds applies:
i. the personal data are no longer necessary in relation to the purposes for which they were collected or otherwise processed;
ii. the data subject withdraws the consent on which the processing is based and there is no other legal basis for the processing;
iii. the data subject objects to the processing, and there is no overriding legitimate reason for proceeding with the processing; iv. the personal data have been unlawfully processed;
v. the personal data must be erased in order to comply with a legal obligation under European Union law or the law of the Member State to which the controller is subject;
Rights to restriction of processing
The data subject has the right to obtain from the data controller the restriction of processing when one of the following applies:
i. the accuracy of the personal data is contested, for the period necessary for the data controller to verify the accuracy of such personal data;
ii. the processing is unlawful and the data subject opposes the erasure of the personal data and requests instead that its use be restricted;
iii. although the controller no longer needs the personal data for the purposes of the processing, the personal data are necessary for the data subject to establish, exercise or defend legal claims;
iv. the data subject has objected to the processing, pending verification of whether the legitimate reasons of the data controller prevail over those of the data subject.
Right to oppose
The data subject has the right to object at any time to the processing of personal data concerning him or her based on the legitimate interest of the Data Controller, including profiling. You also have the right to object at any time to the processing of your personal data for direct marketing purposes, including profiling to the extent that it is related to such direct marketing.
Right to data portability
The data subject shall have the right to receive the personal data concerning him or her which he or she has provided to a controller in a structured, commonly used and machine-readable format and shall have the right to transmit those data to another controller without hindrance from the controller to which he or she has provided the data if:
i. the processing is based on consent or on a contract;
and
ii. the processing is carried out by automated means. When exercising your rights with regard to data portability, you have the right to obtain the direct transmission of your personal data from one controller to another, if technically feasible.
Right to lodge a complaint with the competent Supervisory Authority
In the event that the interested party believes that the processing of his/her personal data is carried out in contrast with the provisions of EU Regulation 2016/679, he/she may lodge a complaint with the competent Supervisory Authority for the protection of his/her rights.
